By accessing or using the Sagging Royalties sales reporting and royalties system (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Sagging Royalties is a multi-tenant platform designed to assist publishers in aggregating sales data from various channels and calculating royalty statements.
3. User Responsibilities
Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Data Accuracy: You represent and warrant that you have the right to upload all data provided to the Service and that such data is accurate and complete.
4. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Sagging Royalties and its licensors. The data you upload remains your property.
5. Disclaimer of Warranties and Limitation of Liability

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the Service or the information, content, or materials included therein.
NO LIABILITY FOR INACCURACIES: You expressly acknowledge and agree that:
Reporting Accuracy: The Service generates reports and calculations based on data inputs provided by you and parsing logic that may not cover every edge case of third-party sales reports. We are not liable for any inaccuracies, errors, or omissions in the sales reports, royalty calculations, or financial statements generated by the Service.
Financial Decisions: You are solely responsible for verifying the accuracy of all reports generated by the Service before making payments to royalty holders or taking any financial actions. We shall not be held responsible for any overpayments, underpayments, or financial losses resulting from reliance on the data provided by the Service.
Data Processing: We are not liable for errors resulting from changes to third-party file formats (e.g., changes in distributor CSV columns) that may cause ingestion failures or incorrect data parsing.
LIMITATION OF DAMAGES: In no event shall Sagging Royalties, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
6. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of New Jersey (USA), without regard to its conflict of law provisions.
8. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
